Terms of Service

Soryk is a Shopify application providing B2B sales-rep tooling on top of a merchant's existing Shopify store. The service includes a merchant admin embedded in Shopify, a mobile and web app for field agents and area managers, and a separate buyer surface that wholesale customers can use to place orders directly. By installing the Soryk app from the Shopify App Store or by signing in to any Soryk surface, you agree to these Terms of Service.

The merchant account is created automatically when the Soryk app is installed on a Shopify store. Agent and buyer accounts are provisioned by the merchant from the Soryk admin. You are responsible for keeping your sign-in credentials confidential and for any activity carried out under your account. Agents act on behalf of the merchant: every draft order, quote and visit report submitted through Soryk is, for legal and commercial purposes, an act of the merchant. The merchant remains solely responsible for the contents, pricing, fulfilment and after-sales handling of all orders placed through Soryk by their agents or by their wholesale buyers, and for any dispute arising therefrom. Soryk operates the technical platform; we are not a party to the merchant-buyer commercial relationship.

Soryk is offered on monthly subscription plans selected from the Soryk admin within Shopify. The current plans are:

• Direct — €49 / month
• Starter — €99 / month
• Growth — €199 / month
• Pro — €399 / month
• Scale — €999 / month (+ €299 one-time setup)

Plans differ in the number of agents, companies and visit forms allowed. The full feature breakdown is shown in the in-app billing page at the time of subscription.

Subscription fees are billed monthly through the Shopify App Subscription system. Charges appear on the merchant's regular Shopify invoice and are subject to Shopify's billing terms. Soryk does not handle payment instruments directly; we receive only the confirmation that a subscription is active.

You may cancel your subscription at any time by uninstalling the Soryk app from your Shopify admin. Cancellation takes effect at the end of the current billing cycle and Shopify handles any pro-rata refund according to its own policy. We do not refund partial months. Upon uninstall, all Soryk-managed configuration is removed; the underlying Shopify records (customers, orders, draft orders, metaobjects) remain on the merchant's store.

Soryk, its source code, design, brand, logos and documentation are the exclusive property of the Company. Subject to your compliance with these Terms and to the payment of the applicable subscription fees, Soryk grants you a non-exclusive, non-transferable, revocable licence to access and use the service for your internal business purposes for the duration of the subscription. You may not copy, reverse-engineer, sublicense or resell the service or any part of it.

The service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. Soryk does not guarantee that the service will be uninterrupted, error-free or fully secure. The merchant is responsible for evaluating the suitability of the service for its specific use case.

To the maximum extent permitted by applicable law, Soryk and its suppliers shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill arising out of or in connection with the service. Soryk's aggregate liability under these Terms shall not exceed the total amount paid by the merchant for the service in the twelve months preceding the event giving rise to the claim.

These Terms are governed by the laws of Italy. Any dispute arising out of or in connection with these Terms, the service or the relationship between the parties shall be submitted to the exclusive jurisdiction of the Courts of Milan, Italy, except where the law of the user's country of residence provides for a non-derogable forum.
